VDR for Cybersecurity

Cybersecurity is a key concern for VDR providers and their clients, due to the highly sensitive nature of information that is included in M&A transactions such as pre-IPO reviews of due diligence, restructuring or bankruptcy. Audits, fundraising efforts, intellectual property are just a few examples. Unauthorized access or disclosure of this information could result in significant financial consequences. VDR security features must include strong password and username control, end to secure encryption, tamper-proof design and deterrent features like document watermarking, to stop uninvited printing or downloading http://dataroomlab.net/financing-strategies-for-companies-with-different-shares/ of sensitive information.

VDRs are able to assist forensic investigations in security incidents, by providing an audit trail that is detailed and user activity. They can assist investigators in determining the cause and impact of the breach. They also offer insight into the weaknesses of data protection practices, allowing companies to correct their practices before the next incident occurs.

It is essential that users don’t overwrite recordings by combining other data, for example backups. Therefore, an optional feature could be added that enables those on board to start a type of marker within the recording. The marker would be a separate file which does not have to be saved with the original recording thereby preserving the integrity of the recorded data. As an alternative, the requirement that those on board manually save a recording could be removed and replaced by the requirement that data be saved using a password or other secure method.
